We are committed to maintaining the trust of our partners – our shareholders, customers, vendors and the NexTier family. An uncompromising commitment to integrity drives us to behave in a manner that demonstrates respect, transparency, dependability and accountability. All employees must adhere to ethical business practices and fully comply with our corporate policies and procedures and applicable laws and regulations. We strive to at all times act with awareness of our responsibility as a corporate citizen and to protect the safety and health of one another, the environment and the people of the communities in which we live and work. There is no acceptable excuse for not doing so.
We have adopted corporate policies and programs, including those described below, that promote the effective functioning of our Company, reinforce NexTier’s commitment to ethics and compliance and ensure that NexTier is managed with integrity and in the best interest of our stakeholders.
Our Code of Conduct
We are proud of NexTier’s strong reputation for honesty and integrity throughout North America. We have worked hard to earn the trust of our stakeholders, and maintaining this trust is essential to NexTier’s future success. Our Corporate Code of Business Conduct and Ethics (also known as the “Code of Conduct”) helps us to do this. Our Code of Conduct provides important guidelines to ensure that we demonstrate our core values and maintain compliance with applicable rules and regulations applicable while conducting our business.
However, the Code of Conduct is only a guide. It is the duty and responsibility of every NexTier employee to protect the Company’s reputation at all times and avoid any appearance of improper conduct. This means that we do the right thing even when no one is looking, and even if it costs us business or opportunities. We will reap success by keeping our core values at the forefront of everything we do.
Any company’s reputation can be easily undermined, and once compromised it is very hard to rebuild. We are committing to running our business with integrity and in keeping with the highest ethical standards, and we expect that commitment from all of our employees. NexTier employees are required to strictly adhere to the principles of our Code of Conduct; there is no excuse for doing something you know is wrong.
Reporting Concerns
To maintain NexTier’s outstanding reputation, all NexTier employees are required to immediately raise any questions and report any concerns about any improper activity. Improper activity includes any potential or actual violations of our corporate policies or the law; questionable financial, accounting, internal accounting controls and auditing matters; or any conduct that could damage NexTier’s reputation for integrity or compromise our core values. If you have a question or concern about what is proper conduct for you or anyone associated with NexTier, please promptly contact your supervisor, a Human Resources representative, or the Office of Ethics and Compliance at 3990 Rogerdale Road, Houston Texas 77042, to the attention of our General Counsel.
We encourage others outside the company to inform us if they suspect or encounter any violations of our Code of Business Conduct & Ethics or the law by our employees, or any other activities which otherwise may amount to unethical or improper conduct.
To facilitate the reporting of concerns, NexTier offers a global third party, independent “hotline” service that is available 7 days a week, 24 hours a day. Concerns may be handled anonymously and submitted over the phone at 1-800-461-9330, by SMS text at 1-432-287-7825 or online at www.nextierofs.com/helpline.
Anyone reporting potential, suspected or actual violations in good faith is protected from retaliation under our Code of Business Conduct & Ethics and our Policy for Complaint Procedures, as well as in a number of countries (including the U.S.) by legislation.
